Welcome to Sellvivor, operated by Soft Construct Limited (hereinafter also referred to as “we”, “us”, or “our”), a digital B2B platform that connects certified sellers (hereinafter referred to as “Sellers”) offering business products and services with buyers (hereinafter referred to as “Buyers”) seeking reliable business solutions.

These Terms and Conditions for Sellers (hereinafter referred to as the “Terms”) govern your registration, certification, and use of the Sellvivor application and related services (collectively, the “Platform” or “Application”) in your capacity as a Seller.

By accessing or using Sellvivor, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree with these Terms, you must not use the Platform.

To use Sellvivor as a Seller, you must:

• be at least 18 years old and legally capable of entering into binding agreements; and
• have successfully completed the required Sellvivor Certification Program.

We may, at our sole discretion, verify your eligibility or request supporting information at any time.

To access certain features of the Platform, you must create an account by providing your full name, email address, and phone number, or by logging in through one of the available login options.

You are responsible for:

• maintaining the confidentiality of your login credentials;
• ensuring that your account information is accurate and up to date; and
• all activities conducted under your account.

If you use any third-party login option (such as a social or single sign-on service), the terms and privacy policies of that third-party provider will also apply.

Before you can offer products or services to Buyers, you must complete the Sellvivor Certification Program, which may include:

• training sessions or educational modules;
• examinations or assessments to demonstrate product knowledge; and
• compliance with platform guidelines and professional conduct standards.

Certification is granted at Sellvivor’s discretion and may be revoked or suspended if you fail to maintain compliance with these Terms or the platform’s standards of conduct.

Sellvivor provides a professional environment that enables Sellers to:

• showcase their expertise and certified product offerings;
• connect with potential Buyers interested in B2B solutions; and
• manage interactions, communications, and feedback through a unified platform.

Sellvivor acts solely as a facilitator between Buyers and Sellers and does not participate in or guarantee any commercial transaction. All payments or contractual arrangements between Buyers and Sellers are made outside the Platform. Sellvivor does not process, hold, or mediate payments, nor does it provide escrow or financial settlement services.

Any agreement or payment transaction is concluded directly between you and the Buyer, and Sellvivor bears no responsibility for payment collection, non-payment, refunds, or disputes arising from such transactions.

As a Seller, you agree to:

• provide accurate and truthful information about your services and certifications;
• maintain professionalism and integrity in all Buyer communications;
• not make misleading claims or representations;
• respect confidentiality and data protection obligations; and
• comply with all applicable business, advertising, and consumer protection laws.

You acknowledge that any content or representations you make on the Platform are solely your responsibility.

You may upload product descriptions, videos, or promotional materials (“Seller Content”) to your profile. You retain ownership of your Seller Content but grant Sellvivor a non-exclusive, royalty-free, worldwide license to use, display, and distribute it within the Platform to promote your profile and facilitate Buyer connections.

Sellvivor reserves the right to remove or restrict any content that:

• violates these Terms or applicable law;
• infringes third-party rights; or
• is deemed inappropriate or misleading.

All other intellectual property, including the Platform’s design, layout, and technology, remains the sole property of Sellvivor or its licensors.

Sellvivor may integrate third-party systems for login, analytics, or communication purposes. If you use such services, the respective third-party’s terms and privacy policies apply in addition to these Terms. We do not control, endorse, or assume responsibility for third-party systems, and your use of them is at your own risk.

Your personal data is collected and processed in accordance with our Privacy Policy, available within the Application and on our official website. We collect only the information necessary to operate your Seller account, facilitate communication, and ensure compliance with platform standards. We do not sell or rent your data to any third parties.

By using Sellvivor, you agree to receive notifications, messages, or updates related to:

• your certification status;
• Buyer inquiries or feedback; and
• system or policy updates.

You may opt out of non-essential communications at any time.

The Platform is provided on an “as is” and “as available” basis. Sellvivor makes no guarantees or warranties regarding the number or quality of Buyer leads or business opportunities; the accuracy or reliability of Buyer-provided information; or uninterrupted or error-free Platform operation. We are not responsible for any loss or damages resulting from reliance on Buyer interactions or external transactions.

To the fullest extent permitted by law, Sellvivor and its affiliates shall not be liable for any indirect, incidental, or consequential damages; loss of income, data, or business opportunities; or any issues arising from payments, contracts, or communications conducted outside the Platform. Our total liability, if any, shall not exceed the total amount (if any) paid by you to Sellvivor for use of the Platform during the six months preceding the claim.

You may delete your Seller account at any time via your account settings. We may suspend or terminate your access if you breach these Terms or certification conditions; misuse the Platform; or engage in fraudulent, unethical, or illegal conduct. Upon termination, your personal data will be deleted in accordance with our Privacy Policy.

These Terms shall be governed by and construed in accordance with the laws of Malta. Any dispute shall first be resolved through amicable discussions. If unresolved, the dispute shall be submitted to the competent courts of the above jurisdiction.

We may update these Terms from time to time at our sole discretion. The most current version of the Terms will always be available within the Application, and the “Last updated” date at the top of this document will reflect the effective date of the latest changes. Your continued use of the Platform after any modification constitutes your acceptance of the revised Terms.
